1. Acceptance of Terms
By accessing, browsing, or utilizing the services provided by SaintPetersburg.org (hereafter referred to as the "Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service, our Privacy Policy, and our Editorial Policy. If you do not agree to all of these terms, you must immediately cease using the Platform.These terms constitute a legally binding agreement between you (as an independent browser, collector, artist, studio, or gallery) and Saint Petersburg | Art Collective (SPC).
Intellectual Property Boundaries and Cross-Licensing Agreement
1. Retention of Creator Ownership: Independent artists, studios, and galleries ("Creators") who submit, upload, or provide portfolios, text, photographs, biographical data, or images of physical artwork to SaintPetersburg.org and the Saint Petersburg Art Collective (collectively, "the Platform") retain 100% of their underlying copyrights, intellectual property rights, and title to their creative works. Registration or display on the Platform does not transfer ownership of any physical or digital artwork to the Platform.
2. Grant of Promotional License: By submitting content, applying to the digital registries, or listing items for sale on the Platform, the Creator hereby grants the Platform a non-exclusive, worldwide, royalty-free, perpetual, and sublicensizable license to display, host, cache, reproduce, format, distribute, and utilize the submitted media, text, and images. This license is granted strictly for the purposes of operating, cataloging, indexing, publicizing, and marketing the Platform, its digital exhibitions, and the local creative ecosystem across digital media, social networks, and promotional archives.
3. Warranties of Originality: The Creator represents and warrants that they are the sole owner of all intellectual property rights in the submitted content, or possess the express written authorization from the copyright holder to grant this license. The Creator agrees to hold harmless and indemnify the Platform from any third-party copyright, trademark, or right-of-publicity claims arising from media submitted under their profile.
2. Platform Purpose and Scope
SaintPetersburg.org operates as a curated digital pavilion, civic directory, and marketplace infrastructure dedicated to the creative class of Saint Petersburg, Florida.The Directory & Direct Leads: The Platform provides a public showcase to connect art collectors with local creators. Interactions, negotiations, and sales stemming from direct peer-to-peer contact on the platform are strictly between the buyer and the seller.The Shop Collective: The Platform provides an optional, hosted secure e-commerce checkout infrastructure. When a transaction occurs through the hosted online store, the Platform acts strictly as an administrative facilitator.
Limitation of Liability as a Venue and Platform Infrastructure
1. Venue Only: User acknowledges and agrees that SaintPetersburg.org and the Saint Petersburg Art Collective (collectively, "the Platform") operate solely as an independent digital venue, hosting infrastructure, and directory ecosystem. The Platform provides a technical medium allowing independent artists, studios, and galleries ("Vendors") to list profiles, showcase creative works, and connect with independent purchasers ("Buyers").
2. Absence of Agency: The Platform is not an auctioneer, a broker, an agent, or a direct party to any transaction, agreement, or contract executed between a Buyer and a Vendor. No partnership, joint venture, employer-employee, or franchisor-franchisee relationship is intended or created by operation of the Platform.
3. No Warranties or Inspection: The Platform does not manufacture, store, inspect, verify, pack, or ship any physical items, fine art, or custom installations listed on the site. The Platform makes no representations, warranties, or guarantees—express or implied—regarding the quality, safety, authenticity, lawfulness, legality, or authorship of any artwork, nor the truth, accuracy, or compliance of any descriptions, credentials, or vendor listings.
4. Safe Harbor and Indemnification: To the maximum extent permitted by law, the Platform, its founders, and its affiliates shall not be held liable for any direct, indirect, incidental, punitive, or consequential damages arising out of, or connected with, any transaction facilitated by the Platform. Buyers and Vendors execute transactions entirely at their own risk. In the event of a dispute regarding shipping delays, property damage, payment chargebacks, product defects, or fraudulent representation, the transacting parties agree to release, indemnify, and hold harmless the Platform from any and all claims, demands, and damages of every kind and nature.
3. Intellectual Property Rights & Ownership
A. Artist & Member Ownership
We believe fiercely in protecting creator rights. Artists, galleries, and studios retain 100% ownership and copyright of all original text, imagery, artwork designs, and biographical materials submitted to the Platform.
B. Promotional License
By submitting images, portfolio assets, and biographical details to SaintPetersburg.org, you grant the Platform a non-exclusive, worldwide, royalty-free, perpetual license to display, distribute, crop, resize, and feature your submitted materials strictly for the purposes of operating, marketing, and promoting your profile and the St. Pete creative community on our website and official social media channels.
C. Platform Ownership
The structural layout, custom code, graphics, branding, logos, domain architecture, and compiled editorial copy of SaintPetersburg.org are the exclusive intellectual property of Saint Petersburg | Art Collective, LLC and are protected by United States and international copyright laws.
4. Ironclad Anti-Scraping and AI Safeguards
To preserve the data sanctuary of our creators, SaintPetersburg.org strictly outlaws the unauthorized harvesting of data.Data Scraping Prohibition: You are strictly prohibited from utilizing any automated means, including data miners, robots, web crawlers, spiders, or scraping scripts, to extract images, artist contact details, pricing data, or editorial text from this Platform.Artificial Intelligence (AI) Training Ban: Content published on SaintPetersburg.org may not be used, downloaded, or compiled by any third party to train machine learning, large language models, or generative artificial intelligence systems without explicit, written legal consent from both the Platform and the respective copyright-holding artist.
5. User Conduct and Account Security
If you are granted a member portal, studio profile, or account access, you agree to:Provide completely accurate, authentic, and verified information.Maintain the security of your login credentials and immediately notify us at dustin@saintpetersburg.org if you suspect a breach.Refrain from uploading any content that infringes on a third party’s trademark, copyright, or privacy rights.Refrain from posting fraudulent, deceptive, defamatory, or malicious material.We reserve the absolute right, at our sole discretion and without prior notice, to suspend, terminate, or remove any profile, account, or listing that violates these conduct standards.
6. Financial Transactions and Commission Structures
A. Direct Peer-to-Peer Transactions
Transactions initiated through direct links to an artist's external website or physical studio are completely free of platform fees. The Platform takes a 0% commission on direct peer-to-peer business. We are not a party to these transactions and carry zero liability for their execution.
B. Hosted E-Commerce (Shop Collective)
When an artist opts to utilize our secure, hosted online store infrastructure:All processing is securely managed via PCI-compliant third-party payment gateways (e.g., Stripe).The Platform retains a flat 10% operational commission on the gross sale price to cover credit card processing fees, digital security, hosting infrastructure, and administrative overhead. The remaining 90% is disbursed directly to the artist or gallery according to our standard marketplace payment schedule.
7. Limitation of Liability and Disclaimers
A. "As Is" Provision
SaintPetersburg.org is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
B. Transactional Indemnification
The Platform is a digital curator and infrastructure provider; we are not a manufacturing, shipping, or appraisal entity. Saint Petersburg | Art Collective, LLC shall not be held liable for any damages, losses, or disputes arising from transactions between buyers and sellers. This includes, but is not limited to, transit damage, lost shipments, misrepresentations of artwork condition, or payment disputes.
Descriptive Use and Fair Use Trademark Safeguard
1. Descriptive Geographic Identification: The term "Saint Petersburg" as utilized across SaintPetersburg.org and by the Saint Petersburg Art Collective (collectively, "the Platform") is used purely in its geographic, descriptive, and spatial capacity to accurately index, identify, and catalog the working artists, physical studios, independent galleries, and community cultural events operating within the physical boundaries of Saint Petersburg, Florida.
2. No Trademark Infringement or Monopolization: The Platform asserts its formal rights under United States Trademark Law (including 15 U.S.C. § 1115(b)(4)) regarding statutory Fair Use. The geographic descriptive use of the city's namesake is not intended to, nor does it, function as a trademark or source-identifier for any commercial brand, city government municipality, or official corporate enterprise.
3. Intellectual Property Boundaries: All third-party trademarks, municipal symbols, trade names, or district designations (e.g., "Warehouse Arts District") referenced on this site remain the exclusive property of their respective owners. Their appearance on the Platform is strictly for informational, educational, and descriptive reference purposes under fair use doctrine. It implies no sponsorship, commercial partnership, corporate endorsement, or reciprocal sanction by the trademark holders.
