Shop Collective Buyer Agreement

1. Independent Third-Party Marketplace Role
The Buyer acknowledges and agrees that SaintPetersburg.org is a curated digital pavilion, civic directory, and administrative e-commerce facilitator.The Artist as Independent Seller: Every piece of artwork listed for sale is owned, stored, packaged, and fulfilled exclusively by an independent local artist, studio, or gallery (the "Seller").No Privity of Production: The Platform does not manufacture, take physical possession of, inspect, store, or appraise the physical artwork. The contract of sale for any transaction is executed strictly and directly between the Buyer and the third-party Seller.
Limitation of Liability as a Venue and Platform Infrastructure
1. Venue Only: User acknowledges and agrees that SaintPetersburg.org and the Saint Petersburg Art Collective (collectively, "the Platform") operate solely as an independent digital venue, hosting infrastructure, and directory ecosystem. The Platform provides a technical medium allowing independent artists, studios, and galleries ("Vendors") to list profiles, showcase creative works, and connect with independent purchasers ("Buyers").
2. Absence of Agency: The Platform is not an auctioneer, a broker, an agent, or a direct party to any transaction, agreement, or contract executed between a Buyer and a Vendor. No partnership, joint venture, employer-employee, or franchisor-franchisee relationship is intended or created by operation of the Platform.
3. No Warranties or Inspection: The Platform does not manufacture, store, inspect, verify, pack, or ship any physical items, fine art, or custom installations listed on the site. The Platform makes no representations, warranties, or guarantees—express or implied—regarding the quality, safety, authenticity, lawfulness, legality, or authorship of any artwork, nor the truth, accuracy, or compliance of any descriptions, credentials, or vendor listings.
4. Safe Harbor and Indemnification: To the maximum extent permitted by law, the Platform, its founders, and its affiliates shall not be held liable for any direct, indirect, incidental, punitive, or consequential damages arising out of, or connected with, any transaction facilitated by the Platform. Buyers and Vendors execute transactions entirely at their own risk. In the event of a dispute regarding shipping delays, property damage, payment chargebacks, product defects, or fraudulent representation, the transacting parties agree to release, indemnify, and hold harmless the Platform from any and all claims, demands, and damages of every kind and nature.
2. Fulfillment, Mandatory Carrier Insurance, and Delivery
Fulfillment Responsibility: The third-party Seller bears sole, absolute responsibility for the proper structural packaging, handling, and shipping of the purchased artwork.Mandatory Transit Insurance: To protect the integrity of the transaction, the Platform mandates that all Sellers ship artwork via reputable commercial carriers (e.g., FedEx, UPS, DHL, USPS) and must carry independent transit insurance covering 100% of the retail purchase value of the piece.Delivery Disputes: The Platform provides tracking information as a courtesy. Any disputes regarding delayed transit, carrier tracking errors, or missed deliveries must be resolved between the Buyer, the Seller, and the respective shipping carrier. The Platform carries no liability for carrier performance.
3. Disclaimers and Absolute Protection Against "Bad Sales"
To the maximum extent permitted by applicable Florida law, Saint Petersburg | Art Collective (SPC) provides its platform on an "as is" basis and explicitly disclaims all liability stemming from the physical condition or transactional execution of the artwork.Condition and Authenticity: The third-party Seller is solely responsible for the accuracy of the artwork description, dimensions, medium representation, and claims of authenticity. The Platform carries zero liability for visual deviations, slight color variations due to digital monitor calibrations, or material misrepresentations by the Seller.Damaged or Defective Items: In the event that a piece arrives damaged due to shipping or packaging failure, the Buyer’s sole remedy is to initiate a claim through the standard resolution pipeline (see Section 4). The Platform shall not be held financially or legally liable for damage incurred during transit or fabrication.
4. Return Policy and Inspection Window
7-Day Inspection Window: To ensure a premium collecting experience, purchases made through the hosted checkout are backed by a seven (7) day buyer-remorse inspection window, beginning on the date of confirmed carrier delivery.Return Logistics: If a Buyer elects to return a piece within this window due to buyer remorse, the artwork must be shipped back to the Seller in its absolute original, unaltered condition. The Buyer is entirely responsible for all return packaging, shipping fees, and mandatory return transit insurance covering the full retail value.Refund Processing: Payouts to the Seller are securely held by our escrow/payment gateway for up to fourteen (14) days. Refunds will only be disbursed to the Buyer once the Seller has received the returned piece and verified its original, undamaged condition. The Platform reserves the right to withhold credit card processing fees from the refunded amount if dictated by our payment gateways.
5. Limitation of Liability and Indemnification
The Buyer explicitly agrees that under no circumstances shall Saint Petersburg | Art Collective, LLC, its officers, directors, or founders be held liable for any direct, indirect, incidental, consequential, or punitive damages arising out of a transaction executed on this website. The Buyer agrees to defend, indemnify, and hold harmless Saint Petersburg | Art Collective, LLC from any and all claims, legal actions, or financial losses stemming from disputes with the third-party Seller, financial transaction disputes (including unauthorized chargebacks), or structural damage to property resulting from the delivery or hanging of the artwork.
6. Governing Law
This Agreement and all transactions executed through the Platform shall be governed by, construed, and enforced in accordance with the laws of the State of Florida. Any legal action or proceeding arising under this Agreement must be brought exclusively in the state or federal courts located in Pinellas County, Florida.
